                               Withholding

                              October 2000

    If a Recipient fails to comply with the terms and conditions of this 
grant or cooperative agreement, including reporting requirements, NASA 
may withhold advance payments under this award, and may also withhold 
future awards to the Recipient, pending correction of the deficiency by 
the Recipient. If advance payments are withheld, the Grant Officer will 
notify the NASA Financial Management Office when payments may resume.
